TERMS AND CONDITIONS

Last updated on 21 October 2026

1. WHO YOU ARE CONTRACTING WITH

Tim Zierer, trading as Reelwire, Calle 47A x 47Y 100-1 #818, Fraccionamiento Las
Americas 2, 97302 Merida, Yucatan, Mexico. Sole trader (persona fisica con actividad
empresarial). Our tax identifier (RFC) is available on request.

We sell Reelwire to you directly. There is no reseller in between: we are the seller, we
take the payment through Stripe, and we issue the invoices.

These terms govern the Reelwire website, its documentation, the checkout, the Reelwire
application, its API and its MCP server. By creating an account you accept them. If you
accept them for an organization, you confirm that you may bind it, and "you" means that
organization. Our Refund Policy, at reelwire.io/refund-policy, is part of these terms. Our
Privacy Policy, at reelwire.io/privacy-policy, explains what we do with personal data.

Reelwire is sold to organizations and to private people alike. If you buy as a consumer,
the rights the consumer law of your country gives you apply in addition to these terms, and
nothing in them limits those rights. The same goes for any other right the law of your
country gives you that cannot be excluded by contract.

2. WHAT THE SERVICE IS

Reelwire is software you use in your browser, through its API or through an AI assistant.
It takes data, draws it into short videos through templates, and hands the finished clips
over in the ways you switch on for each channel: by email, by webhook, or by posting them
through a platform connector (section 12). You supply the data and the brand. We supply
the templates, the rendering and the delivery.

What happens to a clip handed over by email or webhook is yours to decide: you, your own
system or a posting service you chose publishes it. Reelwire posts to a platform itself
only through a platform connector you switched on, with the credentials you gave it. It
does not buy, sell or automate engagement such as views, likes, follows or comments.

We do not review your content or check whether it is true. What goes out is what you, your
system or your AI assistant told us to make.

Nothing Reelwire produces or carries is investment, financial, legal or tax advice, and
Reelwire is not a regulated financial service. Some feeds describe indicators computed
mechanically from past prices, such as moving averages or RSI readings: they describe what
prices did, and are not a recommendation to buy, sell or hold anything. Where a clip shows
market or other third-party data, it shows it as received from its source.

3. YOUR ACCOUNT AND YOUR WORKSPACE

You are responsible for what happens under your account, including what colleagues you
invite do, and including what an API key or an AI assistant does with a key you issued.

Keep your password and your API keys to yourself. Tell us promptly if either is exposed.
You can add two-factor sign-in on My account, so that signing in also asks for a code from
an authenticator app; keep its recovery codes safe. Keys can be revoked at any time from the
application. Some credentials, such as an API key
made on the API keys screen or the webhook's signing secret, can be copied again later by a
person holding Administration in the workspace, after typing their own password; each copy
is recorded in the workspace's audit log.

One person, one account. Accounts are not to be shared.

4. PLANS, ALLOWANCES AND PRICES

4.1 Plans are billed per workspace, in euros, in advance, monthly or yearly. A year is
charged as ten months. Stripe may show the price, and charge it, in your own currency,
converted at its exchange rate on the day.

4.2 Each plan includes a monthly allowance of videos, an amount of storage and a number of
people, and Enterprise a number of syndication participants. What each plan includes, and
what it costs, is stated on the pricing page at the time you buy. If we reduce what a plan
includes, a paid plan keeps what it had until the end of the period already paid for, and
we tell you by email first.

4.3 The allowance renews every month, counted from the day the workspace was created,
which need not be the day your plan renews, and what is not used does not roll over. A
video counts against the allowance when Reelwire queues it for rendering, and still counts
if the render then fails; a video exported directly from the Clip studio counts only when
it finishes.

4.4 On a paid plan, more videos, storage, seats or syndication participants can be added as
extras, at the price shown when you add them. Extras renew with the plan.

4.5 Moving to a bigger plan, or adding an extra, takes effect at once, and the rest of the
current period is charged straight away. Moving from monthly to yearly starts a new yearly
period at once and is charged at once, less what is left of the current month. Moving to a
smaller plan, from yearly back to monthly, or giving an extra back takes effect at the
start of the next period. The current period is not credited.

4.6 Subscriptions renew automatically at the end of each period until cancelled. You cancel
by choosing the free plan on the Plan screen, at any time before the period ends. Your paid
plan then runs to the end of the period you paid for, and the workspace moves to the free
plan at that point.

5. PAYING, TAX AND INVOICES

5.1 Payments are processed by Stripe on our behalf. You pay on Stripe's own page, and your
card or bank details go to Stripe, never to our servers. Stripe emails the receipts and
invoices for us, and every invoice is also on the Billing screen in the application.

5.2 Prices on our website are shown without tax. Reelwire is registered for tax in Mexico
only. Customers in Mexico are charged IVA at 16 percent, which appears as its own line on
every invoice. Customers outside Mexico are charged no tax by us; where your country
expects you to account for tax on services bought from abroad, for example through a
reverse charge, that is yours to do.

5.3 Customers in Mexico: the Stripe invoice is a commercial invoice, not a CFDI. To receive
a CFDI in your company's name, send the invoice number, your Constancia de Situacion
Fiscal and the uso de CFDI to facturacion@reelwire.io before the last day of the month of
the purchase. After that date the sale is included in the monthly global CFDI, and a CFDI
in your name can no longer be issued for it.

5.4 If a payment fails, Stripe tries again over the following days and emails you, and your
plan stays active meanwhile. If it still cannot be collected, we may end the subscription,
and the workspace then moves to the free plan.

6. REFUNDS

If Reelwire is not what you expected, you can ask for a full refund of your first payment
for a paid plan within 14 days of that payment, as long as the workspace has used no more
of its allowance since then than the free plan includes in a month. Other payments are
refunded as our Refund Policy describes.

Refunds are made by us, through Stripe, to the payment method you used. Where the law of
your country gives you a right to cancel or withdraw from a purchase, that right applies
in addition.

Please ask us before disputing a charge with your bank. Most problems are solved faster
that way.

7. THE FREE PLAN

The free plan exists so you can see the product work before paying for it. It is for one
person, with a small monthly allowance of videos and no extras, and it may be changed or
withdrawn. It comes with no support commitment.

8. YOUR CONTENT

Your content stays yours. Nothing in these terms transfers ownership of it.

To run the service, you grant us the limited licence we need to do what you asked: to
store your content, process it, render it into clips in the languages you supply, send it
to the AI service you chose when you ask the assistant, and deliver it to the email
addresses, webhook addresses, platforms and syndication participants you chose. That
licence exists for the operation of the service and for nothing else. It ends when you
delete the content.

You confirm that you have the rights to everything you put in, including images, logos,
fonts, music and any data you send, and that publishing it does not break the law or
somebody else's rights.

9. TEMPLATES, FEEDS AND WHAT YOU MAY DO WITH THEM

The templates and the data sources Reelwire ships are licensed to you for use inside the
service while you have a plan. The clips they produce are yours to publish and keep,
subject to the terms of the source behind the data: where a source asks to be named, you
name it when you publish. We may change or withdraw a source when its provider changes its
terms.

You may not extract, copy, resell or reimplement the templates themselves, or use the
service to build a competing product.

Where Reelwire carries a third-party data source, it is passed on as received. We do not
warrant that it is accurate, complete or timely, and we are not responsible for what you
publish from it.

10. WHAT YOU MAY NOT MAKE OR PUBLISH

Not through us: anything unlawful, anything that infringes somebody else's rights, anything
deceptive about who is publishing it, and anything that breaks the terms of the platform it
is going to. In particular, you may not use Reelwire:

- to impersonate a real person or organization, or to show a real person's face, voice or
  likeness without their consent, including through the AI assistant;
- to make misleading financial promotions, to promise returns, or to present a clip as
  investment advice you are not authorised to give;
- to send spam or unsolicited messages, including to syndication participants who did not
  ask for them, or to fake or inflate engagement on any platform;
- for sexual content involving minors, for hate, or for incitement to violence.

You are responsible for your own regulatory position. If your industry requires a
disclaimer, a licence or an approval before you publish, that is yours to hold and yours to
put in the template.

We may remove content and suspend a workspace that breaches this section. Where we can, we
will tell you first.

11. THE AI ASSISTANT

The AI assistant runs on keys you add for the AI services you choose. Using them is
between you and that service: its terms, its prices and its content rules apply, and it
bills you directly. What you send it, including the files you attach, goes to that service
under those terms. What the assistant makes for you is your content under section 8,
subject to that service's terms, and section 10 applies to it in full.

12. PLATFORM CONNECTORS

On the platforms where Reelwire offers a platform connector, a channel can post its clips
itself. You switch the connector on for the channel and give it the credentials that
platform asks for, which differ from one platform to the next: a token, an address or a
login, for example. Only a person holding Administration in the workspace can add, change
or remove them. Reelwire
then posts the channel's clips to that platform through the platform's own interface, with
those credentials, and, where the platform allows it, changes their text or deletes them
when you ask it to. A video is never changed in place: to replace one, the post is deleted
and posted again.

You confirm that you may use the account or channel the credentials belong to, and that
what is posted there follows that platform's rules. The platform's terms apply between you
and the platform. Credentials are stored encrypted, used for nothing but the channel's
posts and the tests you run, and deleted when you remove them or the workspace. Revoking
them at the platform stops Reelwire posting there at once.

13. SYNDICATION

On Enterprise, a workspace can hand its posts on to syndication participants: people or
organizations outside the workspace that it allows to publish the same clips in its name.
They sign up on a page the workspace places in its own site, or the workspace adds them,
and they receive posts by email, by webhook or both, in the workspace's look.

Who may take part, and on what terms, is between the workspace and its participants. You
are responsible for having the right to let participants publish what you hand on, for
what you tell them, and for the emails sent to them in your name. You are also responsible
for telling participants, before they sign up, who you are and how you use their details,
for example by placing your privacy notice beside the page. Reelwire asks the owner of
every email address to confirm it before sending anything else to it, and every email
carries a way to stop. Participants' details are processed on your behalf, as our Privacy
Policy and our Data Processing Agreement describe.

14. AFTER A CLIP IS HANDED OVER

However a clip is published, by you, your system, a posting service or a platform
connector, the platform it goes to decides what it accepts. Platforms change their rules,
their APIs and their limits, and sometimes refuse or remove posts for reasons they do not
explain. We do not control them and cannot guarantee that a post will be accepted or that
it will stay up.

15. AVAILABILITY

We aim to keep the service running and to render promptly, and priority rendering is part
of what Enterprise buys. We do not offer an uptime guarantee at these prices. Planned
maintenance will be announced where we can announce it.

16. SUPPORT

Questions about using Reelwire, a payment, an invoice or a refund go to
contact@reelwire.io. We answer by email as soon as we can, without a guaranteed response
time, and paying workspaces come first. The free plan comes with no support commitment.

17. THE AFFILIATE PROGRAMME

The owner of a customer workspace can earn commission by referring new customers, under
the affiliate agreement on the Commission page of the application. On a matter concerning
the programme, that agreement prevails over these terms.

18. LIABILITY

Nothing here limits liability that cannot be limited by law, including for fraud or for
death or personal injury caused by negligence.

Subject to that, we are not liable for indirect or consequential loss, for lost profit, for
lost business, for lost audience or reach, or for the consequences of anything you chose to
publish. Our total liability is limited to what you paid for Reelwire in the twelve months
before the event the claim is about.

The service is provided as it is. We do not warrant that it will be uninterrupted or free
of error.

19. ENDING IT

You may delete your workspace from My account once it is on the free plan. A workspace on
a paid plan must be cancelled first (4.6): once the period you paid for has ended and the
workspace has moved to the free plan, it can be deleted. We may end this agreement with 30
days' notice, and then refund the unused part of a period you have paid for, or
immediately where you have materially breached it.

When a workspace ends, your content is deleted. Download anything you want to keep before
you delete it. Invoices and the other records tax law requires are kept after the
workspace ends, for as long as the law requires them, which in Mexico is five years.

20. CHANGES

We may change these terms. Material changes will be notified to account holders by email
at least 30 days before they take effect, and the date at the top will move. If a material
change is to your disadvantage, you may end your subscription before it takes effect and
receive a refund of the unused part of the period. Continuing to use the service after that
is acceptance.

21. GENERAL

You will cover us against claims by others, and the reasonable costs of defending them,
that arise from what you put into Reelwire or publish through it, from the credentials and
addresses you give it, or from what you tell your syndication participants.

If part of these terms is found invalid, the rest stands. These terms, the Refund Policy,
the Data Processing Agreement and, for the affiliate programme, the affiliate agreement are
the whole agreement between us about Reelwire. You may not transfer this agreement without our written consent; we may
transfer it to whoever takes over the business. Neither of us is liable for a failure
caused by something outside our reasonable control. Notices to you go to your account's
email address; notices to us go to contact@reelwire.io.

22. LAW AND JURISDICTION

These terms are governed by the laws of Mexico, and the courts of Merida, Yucatan have
exclusive jurisdiction, except where the law of your own country gives you a right to a
different forum that cannot be excluded.
